Terms of Service

1. Introduction and Acceptance

Welcome to Rhythoria Studios. These Terms of Service ("Terms") govern your access to and use of the services, website, and any related content provided by Rhythoria Studios ("Company," "we," "our," or "us"). By engaging our services, submitting a project inquiry, or otherwise interacting with our website and offerings, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such case, "you" and "your" will refer to that entity. If you do not agree with any part of these Terms, you must not use our services or website.

These Terms constitute a legally binding agreement between you and Rhythoria Studios. We reserve the right to modify, update, or replace any part of these Terms at our sole discretion. Changes will be effective immediately upon posting to our website. Your continued use of our services following any changes indicates your acceptance of the modified Terms.

2. Description of Services

Rhythoria Studios provides professional music production, sound design, audio branding, audio editing, and production consulting services for digital content, brands, video productions, media projects, and creative professionals. Our services include, but are not limited to:

  • Original music composition and production for video, digital, and branded content
  • Sound design for commercials, motion graphics, social media content, and presentations
  • Jingle creation, audio intro development, and sonic identity branding
  • Audio editing, noise reduction, enhancement, mixing, and mastering services
  • Music production consulting, sound direction strategy, and creative workflow guidance

The specific scope, deliverables, timeline, and pricing for each project are determined during the discovery and proposal phase and are documented in a separate project agreement or scope of work document provided prior to the commencement of production work.

3. Project Engagement Process

All projects begin with an initial inquiry submitted through our website contact form, email, or consultation request. Following the initial inquiry, we conduct a discovery session to understand the project requirements, creative direction, deliverables, timeline, and budget parameters.

Upon mutual agreement of the project scope, we provide a formal proposal or scope of work document that outlines all deliverables, timelines, revision policies, payment terms, and any other relevant project parameters. Work commences only after the client has approved the proposal and any required initial payment has been received.

We reserve the right to decline any project inquiry at our sole discretion, for any reason, including but not limited to scheduling conflicts, scope misalignment, or creative direction concerns.

4. Payment Terms

Payment terms, amounts, and schedules are specified in the individual project agreement or proposal provided to each client. Unless otherwise stated in the project agreement, the following general payment terms apply:

  • A non-refundable deposit of 50% of the total project fee is required before production begins
  • The remaining balance is due upon delivery of final files and before the release of production-ready assets
  • All prices are quoted in United States Dollars (USD) unless explicitly stated otherwise
  • Late payments may be subject to a fee of 1.5% per month on the outstanding balance
  • Rhythoria Studios reserves the right to pause or suspend work on any project with outstanding overdue payments

Payment methods accepted will be communicated during the project engagement process. All fees are exclusive of applicable taxes, which are the responsibility of the client unless otherwise specified.

5. Intellectual Property and Licensing

All original compositions, sound design elements, audio assets, and creative work produced by Rhythoria Studios remain the intellectual property of Rhythoria Studios until full payment has been received for the project. Upon receipt of complete payment, intellectual property rights are transferred to the client as specified in the project agreement.

The standard license grants the client full usage rights for the agreed-upon purposes and platforms specified in the project scope. Any use beyond the originally agreed scope may require additional licensing arrangements and fees.

Rhythoria Studios retains the right to showcase completed work in our portfolio, promotional materials, and case studies unless explicitly restricted by a written confidentiality agreement signed by both parties. This portfolio right does not grant any third parties usage rights to the work.

The client warrants that any materials, references, brand assets, or content provided to Rhythoria Studios for use in production do not infringe upon any third-party intellectual property rights, trademarks, or copyrights.

6. Revisions and Modifications

The number of revision rounds included in each project is specified in the project agreement or proposal. Revisions refer to modifications, adjustments, and refinements to the work within the originally agreed creative direction and scope.

Requests that significantly alter the creative direction, expand the project scope, or require substantial reworking of completed elements may be classified as scope changes rather than revisions. Scope changes may incur additional fees, which will be communicated and agreed upon before the additional work is undertaken.

Additional revision rounds beyond those included in the project agreement are available at an hourly rate or project-based fee to be agreed upon in advance. We encourage timely and consolidated feedback to ensure an efficient revision process.

7. Delivery and File Formats

Final deliverables are provided in the file formats, sample rates, and specifications agreed upon in the project scope. Standard delivery formats include WAV, MP3, AIFF, and other common digital audio formats suitable for the intended platforms and use cases.

Delivery is made through secure file transfer methods. Final files are released to the client upon receipt of complete payment. Rhythoria Studios maintains backup copies of delivered files for a period of 90 days following delivery, after which files may be archived or deleted.

The client is responsible for downloading, backing up, and securely storing all delivered files. Rhythoria Studios is not liable for any loss of files after delivery has been completed and confirmed.

8. Cancellation Policy

Projects may be cancelled by the client at any time by providing written notice. However, the following cancellation terms apply:

  • Cancellation before production begins: the initial deposit is non-refundable but no additional fees apply
  • Cancellation during production: the client is responsible for payment of all work completed to date, including any partial deliverables
  • Cancellation after delivery of draft work: full project fee is due regardless of whether final revisions have been completed

Rhythoria Studios reserves the right to cancel or terminate a project if the client fails to provide necessary materials, feedback, or approvals within 30 days of request, or if the client engages in conduct that materially impedes the production process.

9. Confidentiality

Both parties agree to treat all project-related information, creative materials, business strategies, and proprietary data shared during the engagement as confidential. Neither party will disclose confidential information to third parties without prior written consent, except as required by law.

This confidentiality obligation survives the termination or completion of the project for a period of two (2) years, unless a separate non-disclosure agreement specifies different terms.

10. Limitation of Liability

Rhythoria Studios provides services on a professional best-efforts basis. To the maximum extent permitted by applicable law, Rhythoria Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services, including but not limited to loss of profits, data, business opportunities, or goodwill.

Our total liability for any claim arising out of or related to these Terms or our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim. This limitation applies regardless of the legal theory upon which the claim is based.

Rhythoria Studios does not guarantee specific commercial outcomes, audience responses, or performance metrics resulting from the use of our deliverables. The effectiveness of audio and music content is influenced by numerous factors beyond our control.

11. Indemnification

The client agrees to indemnify, defend, and hold harmless Rhythoria Studios, its owners, employees, contractors, and agents from and against any and all claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to the client's use of delivered materials, breach of these Terms, violation of any third-party rights, or any materials provided by the client for use in production.

12. Force Majeure

Rhythoria Studios shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, power outages, internet disruptions, equipment failures, or other force majeure events.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.

If negotiation fails to resolve the dispute within 30 days, either party may pursue resolution through binding arbitration administered by a mutually agreed-upon arbitration service in Los Angeles County, California. The decision of the arbitrator shall be final and binding.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15. Entire Agreement

These Terms, together with any project-specific agreements, proposals, or scope of work documents, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
